These Terms of Service govern your use of Devynium's website and services. By accessing or using our services, you agree to be bound by these terms.
1. Services Overview
Devynium provides:
• Custom AI agent development and deployment
• SaaS platform development and consulting
• Software integration and automation services
• Technical consulting and support
Specific scope, deliverables, timeline, and pricing for each project are defined in individual service agreements or statements of work.
2. Client Responsibilities
As a client, you agree to:
• Provide accurate information and necessary access to systems
• Respond to requests for feedback and approvals in a timely manner
• Ensure you have proper authorization to engage our services
• Pay invoices according to agreed payment terms
• Maintain confidentiality of any proprietary information shared
Delays caused by lack of client input may affect project timelines and costs.
3. Intellectual Property
Unless otherwise specified in writing:
• Custom code and solutions developed specifically for your project become your property upon full payment
• Pre-existing tools, frameworks, and components remain our property and may be reused
• You grant us permission to showcase your project (with anonymization if requested) in our portfolio
• You retain ownership of your data, content, and business logic
We respect intellectual property rights and expect the same from our clients.
4. Payment Terms
Standard payment terms:
• Project deposits are typically 30-50% of total project cost
• Progress payments are due according to milestones defined in the agreement
• Final payment is due upon project completion and delivery
• Late payments may incur interest charges and suspension of services
• All fees are in USD unless otherwise specified
Custom payment arrangements can be negotiated for larger projects.
5. Confidentiality
We treat all client information as confidential:
• We do not disclose project details, business information, or data to third parties
• Our team members sign confidentiality agreements
• We implement security measures to protect your information
• Formal NDAs can be executed upon request
We expect clients to treat our proprietary methodologies and internal processes as confidential.
6. Warranties and Disclaimers
We warrant that:
• Services will be performed in a professional and workmanlike manner
• Deliverables will substantially conform to agreed specifications
• We have the right to provide the services
However:
• Services are provided 'as is' without additional warranties
• We do not guarantee specific business outcomes or results
• We are not responsible for issues caused by third-party systems or client-provided components
• AI systems may produce variable outputs and require ongoing refinement
7. Limitation of Liability
To the maximum extent permitted by law:
• Our liability is limited to the amount paid for the specific service in question
• We are not liable for indirect, consequential, or incidental damages
• We are not liable for losses due to service interruptions, data loss, or third-party actions
• Client is responsible for maintaining backups of their data
Nothing in these terms excludes liability that cannot be excluded under applicable law.
8. Project Changes and Cancellation
Changes to project scope:
• Must be requested in writing
• May affect timeline and cost
• Require mutual agreement before proceeding
Project cancellation:
• Client may cancel with written notice
• Deposit is non-refundable
• Client pays for all work completed to date
• All work products and intellectual property revert to Devynium unless paid in full
9. Support and Maintenance
Post-launch support terms:
• Bug fixes for issues present at delivery are provided at no charge for 30 days
• Ongoing maintenance and support require a separate agreement
• Emergency support may be available for additional fees
• Response times depend on the support tier selected
We recommend maintenance agreements to ensure optimal system performance.
10. Termination
Either party may terminate services if:
• The other party breaches these terms and fails to remedy within 30 days
• The other party becomes insolvent or enters bankruptcy
• Continued relationship becomes impractical
Upon termination, all outstanding payments become immediately due.
11. Governing Law and Disputes
These terms are governed by the laws of Malaysia. Any disputes will be resolved through:
1. Good faith negotiation
2. Mediation if negotiation fails
3. Arbitration or courts in Malaysia
We prefer to resolve issues amicably before resorting to formal dispute resolution.
12. Changes to Terms
We may update these terms from time to time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the updated terms.
